General Terms and Conditions of Sale
Last updated: 2026-01-15
These General Terms and Conditions of Sale ("GTC") govern the subscription to and use of the Droovi service by professional clients ("Customer"). By placing an order or using the service, the Customer accepts these GTC unconditionally.
1. Service definition
Droovi provides a SaaS dispatch platform for VTC fleets and travel aggregators, including a web dashboard, a driver mobile app, REST APIs and integrations with third-party booking systems.
2. Subscription, billing & payment
Subscriptions are billed monthly in advance. Volume-based fees are calculated at the end of each billing cycle. Payment is due upon receipt of invoice. Late payments incur the legal interest rate plus a fixed €40 recovery fee per French commercial code.
3. Term and termination
Subscriptions renew automatically each month unless cancelled at least 30 days before renewal. The Customer may cancel via the dashboard or by written notice to [email protected].
4. Service level
Droovi targets 99.9% monthly uptime measured outside of scheduled maintenance windows announced 48 hours in advance. Specific SLAs apply to Scale-tier subscriptions.
5. Customer obligations
- Provide accurate company, billing and contact information.
- Use the service in compliance with applicable laws (transport, labour, data protection).
- Keep credentials confidential and report any security incident promptly.
6. Intellectual property
Droovi retains all rights, title and interest in the platform. The Customer is granted a non-exclusive, non-transferable licence to use the service during the subscription term. Data uploaded by the Customer remains the Customer's property.
7. Liability
Droovi's aggregate liability is limited to the amounts paid by the Customer in the twelve months preceding the event giving rise to the claim. We exclude liability for indirect, consequential or commercial losses.
8. Force majeure
Neither party is liable for failure to perform due to events beyond its reasonable control (e.g. internet outages, labour strikes, force majeure as defined by article 1218 of the French Civil Code).
9. Governing law and jurisdiction
These GTC are governed by French law. Any dispute is subject to the exclusive jurisdiction of the Tribunal de Commerce of Nice.
