These General Terms and Conditions of Sale ("GTC") govern the subscription to and use of the Droovi service by professional clients ("Customer").
1. Service definition
Droovi provides a SaaS dispatch platform for VTC fleets and travel aggregators, including a web dashboard, a driver mobile app, REST APIs and integrations.
2. Subscription, billing & payment
Subscriptions are billed monthly in advance. Volume-based fees are calculated at the end of each cycle. Payment is due upon invoice receipt. Late payments incur the legal interest rate plus a fixed €40 recovery fee.
3. Term and termination
Subscriptions renew automatically each month unless cancelled at least 30 days before renewal.
4. Service level
Droovi targets 99.9% monthly uptime measured outside scheduled maintenance windows announced 48 hours in advance.
5. Customer obligations
- Provide accurate company, billing and contact information.
- Use the service in compliance with applicable laws.
- Keep credentials confidential and report security incidents promptly.
6. Intellectual property
Droovi retains all rights in the platform. The Customer is granted a non-exclusive, non-transferable licence during the subscription term.
7. Liability
Droovi's aggregate liability is limited to the amounts paid by the Customer in the twelve months preceding the event giving rise to the claim.
8. Force majeure
Neither party is liable for failures due to events beyond reasonable control.
9. Governing law
These GTC are governed by French law. Any dispute is subject to the exclusive jurisdiction of the Tribunal de Commerce of Nice.
